2. Registration and conclusion of contract
Interested parties can register for participation in the event online via the website, by email or verbally. The registration is initially considered a non-binding inquiry. After receipt of the registration, the organiser submits a written or verbal offer to the exhibitor. This offer can be accepted by the exhibitor in writing, by email or verbally. Upon acceptance of the offer, a legally binding contract between the exhibitor and the organiser is concluded. Conditional acceptances of the offer are invalid. Deletions, additions and changes in the offer and in the trade fair conditions are ineffective. Following acceptance, the exhibitor will receive a written order confirmation from the organiser.
3. Admission, acceptance of registration
Domestic and foreign exhibitors whose exhibits correspond to the subject may be admitted. The organiser decides on the admission of the exhibitor at its own discretion, taking into account space capacities, the purpose and the structure of the event. The organiser may require the exhibitor to submit a list of goods. Admission is confirmed by written order confirmation from the organiser, as is the allocation of space, which may take place at the same time as or after acceptance of the offer. The organiser is not obliged to justify refusals of exhibition contracts and does not grant exclusivity to exhibitors.
In the interest of the event, the organiser is entitled to assign a space in a different location, change the size of the space, relocate or close entrances and exits to the exhibition grounds and halls or make other structural changes, even if this deviates from the order confirmation and space allocation. If the stand rental is reduced as a result, the difference will be credited or refunded to the exhibitor at the organiser’s discretion. Further claims, in particular claims for damages against the organiser, are excluded. If the organiser is unable to provide an already allocated stand and cannot offer a replacement, then the exhibitor…
4. Cancellation conditions
In the event of cancellation of the registration, the exhibitor must pay the following cancellation fees to the organiser:
Up to 12 weeks before the start of the trade fair: 50% of the agreed stand rental
From 12 weeks before the start of the trade fair: 100% of the agreed stand rental
In each case plus taxes, duties, other additional costs and any costs already incurred for ordered technical and service services.
The cancellation fee is to be paid as lump-sum compensation regardless of fault. The exhibitor waives any reduction of the compensation claim. The exhibitor acknowledges that the cancellation fee must also be paid if the organiser succeeds in renting or selling the stand to a third party. The assertion of further damages beyond the agreed cancellation fees remains unaffected. The due date is determined by the cancellation invoice.
5. Prohibition of assignment
The exhibitor is not entitled to assign claims from the exhibition contract to third parties. Any transfer of the stand, even partially, requires the express written consent of the organiser and is only permitted upon payment of a co-exhibitor fee.
6. Sponsoring
Separate conditions apply to sponsoring agreements. Upon acceptance of a sponsorship offer by the sponsor, a binding contract is concluded. After confirmation, 100% of the total amount will be invoiced. Cancellation or withdrawal from the sponsorship contract is excluded. The sponsor is obliged to fully provide the agreed services and pay the defined sponsorship fee.
7. Invoicing and payment terms
After admission, 50% of the total amount is due, the remaining 50% must be paid 12 weeks before the event. Invoices issued after this date are due in full immediately. The exhibitor must pay all costs for additional services upon invoicing.
Changes to invoices are charged at EUR 25.00 plus 20% VAT per change.
All payments are to be made in euros. Timely payment of invoices and any registration fee is a prerequisite for handover of the stand. Objections must be raised within five working days, otherwise the invoice is deemed approved.
In case of delay in payment, 12% interest per year and EUR 20.00 per reminder are charged. All collection and legal costs are to be borne by the exhibitor. The exhibitor is not entitled to withhold or offset payments.
8. Taxes, fees and duties
All taxes, fees and duties, in particular VAT, legal fees and advertising tax, are borne by the exhibitor. All prices stated are net prices.
9. Reservations
If the event cannot take place or only partially or differently due to unforeseeable events beyond the organiser’s control, including force majeure, the organiser is entitled to withdraw from the contract. The organiser must inform the exhibitor immediately.
The organiser may also cancel the event if the minimum number of registrations is not reached. In such cases, the exhibitor has no claim for damages. The organiser may retain up to 25% of the stand rental as a processing fee. Further claims are excluded.
10. House rules
The organiser’s house rules must be observed.
11. General provisions, place of jurisdiction, place of performance
Austrian law applies exclusively. The place of jurisdiction and performance is Vienna. The invalidity of individual provisions does not affect the validity of the remaining provisions. An invalid provision shall be replaced by one that comes closest to the economic purpose.
